Related-Party Transactions

How we review any transaction between TRUETH Foundation and a board member, staff member, or their family or business.

This policy is written and in effect as TRUETH practice. Formal board adoption and counsel review are in progress.

A related-party transaction is any purchase, contract, or payment between TRUETH Foundation and a board member, staff member, or a close family member or business of theirs.

Why this matters

Donors and the public trust that TRUETH's resources are used for its charitable mission, not to benefit insiders. Reviewing related-party transactions protects that trust.

Our approach

  • Any related-party transaction is disclosed to the board before it happens, where practical.
  • The individual with the conflict does not vote on approving the transaction.
  • Terms must be fair to TRUETH and comparable to what an unrelated party would offer.

Status

TRUETH intends to formally adopt a related-party transaction policy as part of its governance documents. That formal adoption is in progress; this page describes our intended approach.
